Most capital doesn’t move because no one built the road.

A foundation wants to deploy into private investments that directly align with its mission. Someone with a track record and tangible projects doesn’t yet know how to approach the impact investing space. An organization is working out how to structure itself to take in mission-aligned capital. The money and the need exist already, but they’re just not connected. We illuminate what’s possible, design the structure, and help the pieces find each other.

Areas of Focus

  • Special Purpose Vehicles (SPV) & feeder-fund formation
  • Capital structure design
  • Programmatic capital raises
  • Curated convenings (Small Table)
  • Data room & investor readiness
  • Fund administration & reporting

What we do

Three ways we help capital move.

Different projects need us in different places along the path from idea to deployed capital. Most engagements start in one room and grow into another.

Access

for investors

Most people never see the options they actually have. A foundation or family often don’t realize a private investment they care about is accessible. We surface the possibilities and build the vehicle that creates access. When viable, we aggregate smaller commitments so that the minimum check is no longer the barrier to backing the impact investments. This is how we connect a pipeline of mission-aligned opportunities to the families and foundations that want to support them.

  • Special purpose vehicles (SPVs) and feeder funds
  • Lower minimums into curated, mission-aligned deals
  • Custody coordination and fund listing
  • Capital calls, financials, and ongoing reporting

Activation

for organizations with a track record

You’ve created a mission-driven project that needs funding. What you don’t have is a map of the impact investing world or a clear way to take in mission capital. We help you make sense of who the funders are, what they need to hear, and how to move from interested conversations to committed capital.

  • Orientation to the mission-capital landscape
  • Capital story, framing, and positioning
  • Funder mapping and relationship sequencing
  • Curated convenings, facilitation, and follow-up
  • Shepherding conversations toward commitment

Advisory

for innovators & growing organizations

When you’re creating a new enterprise, or you’re a nonprofit ready to grow, you need a creative financial partner who can innovate alongside you and push the thinking further. This is the technical work of structuring the vehicle and preparing to receive mission-aligned capital which bridges the distance between a paper strategy and real capital changing hands.

  • Capital and vehicle structure design
  • Pro forma and financial model development
  • Data room design and build-out
  • Investment narrative and readiness materials
  • Pathway strategy — debt, equity, or blended

In practice

What it looks like on the ground.

Access

A feeder fund into a mission aligned venture fund

A venture fund focused on the circular economy had a minimum investment that was higher than many individual investors wanted to allocate. We built a feeder vehicle that created access, allowing for smaller commitments. We coordinated the documents, onboarding, capital calls, and ongoing reporting necessary to put this investment within reach.

Activation

Guiding a developer into mission capital

A developer with a strong track record across Georgia and Florida had projects that could qualify for increased tax benefits if they raised private capital. The challenge was they were not familiar with the foundation-capital world. We mapped the funders, shaped the story, and stood up the convenings where commitments take shape, which helped turn a once-a-year scramble into a repeatable program.

Advisory

Preparing a growing nonprofit to receive capital

A community nonprofit with 25 years of operating history was ready to expand. They needed help with modeling, their data room, and the structure that mission capital allocators expect. We helped build that technical foundation with them, which bridged the gap to accessing the capital they needed.

We think about the function of capital before the form of it. The same dollar can be a bond, a note, a fund interest, or a guarantee. What matters is the job it’s doing and whether the structure lets it do that job well.

Why Brighter

Built to Illuminate What’s Possible

We’ve done the unglamorous parts
The structures to move private capital can be complicated. We strive to simplify the process of vehicle creation, subscription docs, capital calls, fund audits, and reporting so that impact dollars move more freely.
Strategists, not salespeople
People ask us to walk alongside them and figure it out together. The structure follows the goal, never the other way around.
Southeast-rooted
We have deep networks across the region that can help surface both the capital and the projects that national firms may not see.
Mission-aligned ourselves
We’re a Certified B Corporation and Public Benefit LLC. Moving capital toward impact outcomes isn’t a product line, it’s what we were formed to do

If you’re a foundation curious about how you can get access to these opportunities, see how these investments come to life in our advisory work.
